1. Who we are
NEOBAY LLC (United States) operates the NEOBAY Creators program at creator.neobay.co. By creating an account you enter a services agreement with NEOBAY LLC.
2. Your status
You are an independent contractor. No exclusivity (with one limit, section 9), no imposed schedule, no employment relationship. You must be 18 or older. You are solely responsible for declaring your income and meeting your tax and social obligations in your country of residence. If you reside outside the United States, your services are performed entirely outside the United States.
3. Compensation
You are paid per 1,000 views according to the rate, per-video cap and minimum threshold displayed on each campaign. Views are collected automatically from the platforms' public counters, for the counting period shown on the campaign (after that, a video's counter is frozen). Earnings become payable after a 72h stabilization window and are paid every Monday from a $10 balance, by bank transfer (Wise). The reading taken at each cycle close is final. If a platform corrects views downward (fake-account purges), the balance is adjusted.
4. Content rules
Only videos posted by an account you verified on the portal, posted AFTER joining the campaign, and compliant with the brief are eligible. Each video must remain public and online for at least 14 days after its last payout, with visible metrics. Deleted or made private before that: earnings frozen and recoverable from your balance.
5. Anti-fraud
Buying views, likes or comments, having someone else buy them, or inflating them artificially (bots, engagement groups) is forbidden. One NEOBAY account per person (your TikTok, Instagram or Facebook accounts, on the other hand, can be as many as you like): creating a second NEOBAY account to refer yourself or to earn a commission on your own content is forbidden and treated as fraud. An anti-fraud system analyses the views of every video and detects these practices. A video whose numbers don't match a real audience is held and reviewed before payment: you can provide your platform's statistics, and NEOBAY makes the final call. If fraud is established: your account is closed and your entire unpaid balance is withheld. You refund within 15 days everything already paid to you through the fraud, and you owe an additional penalty of the same amount (€500 or $500 minimum, depending on the campaign currency), plus our recovery costs. Obtaining a payment with bought views is criminal fraud (article 313-1 of the French Code pénal: up to 5 years in prison and a €375,000 fine), and NEOBAY reserves the right to press charges.
6. What we can do with your videos
Your videos stay yours. On our side, we can repost and re-edit them on the NEOBAY accounts. That's limited to NEOBAY products, to social platforms, and to 2 years after you post. We don't run them as paid ads, and we don't use your image in ads: that's a separate agreement, which you accept or not from your space, and which pays you 5% of what we spend. For anything else, we ask you first.
7. Data and documents
Nothing to mail, no paperwork: everything happens online on the portal, once, before your first payout (2 minutes). You enter your bank details and tick a tax certification. Why? NEOBAY is a US company and US law requires it to document who it pays. If you live outside the United States, you simply certify that you are not a US tax resident and that you work from your own country (that's Form W-8BEN): result, 0% withholding on your earnings. US residents complete their local equivalent (W-9). A French business number (SIRET) is optional. If you provide one, you mandate NEOBAY LLC to issue your invoices in your name and on your behalf (self-billing): each invoice is available in your space, you remain responsible for your own invoicing, and an invoice is deemed accepted unless you dispute it within 15 days. You may withdraw this mandate at any time by writing to us. Your data is used only to run the program and is encrypted.
8. Miscellaneous
NEOBAY may pause or close a campaign at any time; already validated earnings remain yours. This agreement may evolve: each new version will be presented to you for acceptance in your space. The version you accepted is recorded with its date. Support: by WhatsApp, with the NEOBAY team.
9. Direct competitors, and what stays between us
You are free to create content for other brands, including other programs that pay per view. One exception: while you take part in a campaign, you don't publish paid content for a direct competitor of its product, meaning a product that provides the same service to the same audience. You take part in a campaign from your first video until the counting of your last one ends. Unsure about a brand? Ask us first, we answer fast. You don't approach other NEOBAY creators to bring them to a competing program, during your participation and for the 12 months that follow. And what you learn here (briefs, guide, rates, data from your space) stays between us.
10. Duration, termination and governing law
This agreement has no fixed term and doesn't require you to publish: it applies to each video you submit, and you stop whenever you want, simply by no longer submitting anything. NEOBAY may end it with 7 days' notice, or without notice in case of fraud or serious breach. In all cases, already validated earnings remain due to you, and sections 4, 5, 6 and 9 continue to apply. This agreement is governed by French law. In case of disagreement, we first look for an amicable solution; otherwise, the courts of Paris have jurisdiction.
